Terms of Service

Effective Date: October 20, 2026

Last Updated: October 20, 2026

Welcome to Digital Knockers (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, web applications, mobile applications, and digital agency services (collectively, the “Services”).

By accessing our website, using our apps, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not access or use our Services.

1. Scope of Services

Digital Knockers provides digital marketing, website development, application development, brand strategy, and related agency services. Specific deliverables, project scopes, timelines, and fee structures will be outlined in separate Statements of Work (SOW), project proposals, or service agreements executed between Digital Knockers and the client.

2. Client Responsibilities & Content

  • Account Credentials & Access: To deliver services (such as website management, ad account management, or app updates), clients must provide required credentials, assets, and permissions in a timely manner.

  • Accuracy of Content: Clients are solely responsible for the accuracy, legality, and copyright ownership of all text, images, trademarks, and assets provided to Digital Knockers.

  • Approvals: Clients agree to review and approve deliverables (mockups, ad copy, web builds) within the timeframe specified in the project agreement. Delays in feedback may adjust project delivery dates.

3. Payments, Fees, and Subscriptions

  • Payment Terms: Fees for retainer services, fixed-price projects, or ongoing digital management must be paid according to the schedule set out in the proposal or invoice.

  • Late Payments: Invoices not settled by the due date may be subject to a late administrative fee or temporary suspension of active services, ad campaigns, or hosting access.

  • Third-Party Costs: Ad spend (e.g., Google Ads, Meta Ads), domain registration fees, premium plugin licenses, and third-party API subscriptions are the client’s responsibility unless explicitly included in the contract.

  • Refund Policy: Due to the custom nature of agency services, fees paid for completed milestones, strategy work, or consumed monthly retainers are generally non-refundable.

4. Intellectual Property Rights

  • Agency Materials: Digital Knockers retains ownership of all proprietary tools, code libraries, framework components, and agency processes used to perform the services.

  • Client Deliverables: Upon full and final payment of all fees, the client receives ownership of (or an exclusive license to use) final custom deliverables (such as custom design graphics, final website copy, and custom client code), subject to third-party licenses (e.g., WordPress plugins, stock media).

  • Portfolio Showcase: Unless explicitly agreed otherwise in writing via a Non-Disclosure Agreement (NDA), Digital Knockers reserves the right to display completed projects, case studies, and design work on our portfolio, website, and promotional materials.

5. Website and App Usage Rules

When using our website or applications, you agree not to:

  • Violate any applicable local, national, or international law.

  • Reverse-engineer, decompile, or attempt to extract the source code of our software or web systems.

  • Transmit harmful code, viruses, or malicious scripts.

  • Use automated scrapers or bots to extract content without prior authorization.

6. Third-Party Services and Platforms

Our services frequently interface with third-party software and ad networks (e.g., Google, Meta, hosting providers, payment gateways). Digital Knockers is not liable for service interruptions, policy changes, account suspensions, or technical bugs caused by third-party platforms outside of our direct control.

7. Warranties and Limitation of Liability

  • “As-Is” Services: Website and application access are provided on an “as-is” and “as-available” basis.

  • No Guarantee of Specific Results: While we employ industry best practices for marketing and search optimization, Digital Knockers does not guarantee specific lead volumes, conversion rates, or search engine ranking positions, as these depend on algorithm updates and market dynamics.

  • Limitation of Liability: To the maximum extent permitted by law, Digital Knockers shall not be liable for any indirect, incidental, consequential, or punitive damages (including loss of revenue, profits, or data) arising out of or related to your use of our Services. Our total aggregate liability shall not exceed the total amount paid by the client to Digital Knockers in the three (3) months preceding the claim.

8. Termination

  • Services Termination: Either party may terminate ongoing retainer services by providing written notice as specified in the service agreement (typically 30 days written notice).

  • Immediate Termination: Digital Knockers reserves the right to suspend or terminate service or access to our web/mobile apps immediately if a client breaches these Terms, fails to pay overdue fees, or engages in unlawful behavior.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws governing Digital Knockers’ legal operating jurisdiction. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiations before initiating formal legal proceedings.

10. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Changes will take effect upon posting to our website with an updated “Last Updated” date. Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms.
